  1. Introduction and Acceptance of Terms

Welcome to iCLEAN (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, mobile application, and cleaning services (collectively, the “Services”) offered by iCLEAN, a company registered and operating in the Turks and Caicos Islands.

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on our website or mobile application. Your continued use of our Services after any such changes constitutes your acceptance of the new Terms.

  1. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years of age and a resident of the Turks and Caicos Islands to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

2.2 Account Registration

To use certain features of our Services, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to disable your account at any time, including if you have failed to comply with any provision of these Terms.

  1. 1 Service Description and Booking Process

3.1 Cleaning Services

iCLEAN provides residential and commercial cleaning services in the Turks and Caicos Islands.

Our Services include, but are not limited to, regular cleaning, deep cleaning, move-in/move-out cleaning, and specialty cleaning services.

3.2 Booking Process

You may book our Services through our website, mobile application, or by contacting our customer service team. When booking a cleaning service, you agree to provide accurate information regarding:

  • The location where services are to be performed
  • The type of cleaning service requested
  • Preferred date and time for the service
  • Special instructions or requirements
  • Access information if necessary

3.3 Service Confirmation

Once you submit a booking request, we will confirm the availability of the requested service and provide you with a confirmation. A binding agreement for the provision of services is formed only when we send you a booking confirmation.

  1. User Responsibilities

4.1 Property Access

You are responsible for ensuring that our cleaning staff has appropriate access to the property at the scheduled time. If we are unable to access the property due to your failure to provide access, you may be charged a cancellation fee as outlined in Section 5.2.

4.2 Property Preparation

You agree to prepare the property reasonably for the cleaning service, including:

  • Securing valuable items
  • Removing excessive clutter that would prevent proper cleaning
  • Ensuring pets are secured or removed from the cleaning areas
  • Informing us of any fragile or special items that require specific care

24.3 Accurate Information

You must provide accurate and complete information about the property and cleaning requirements. Additional charges may apply if the actual conditions differ significantly from what was described during booking.

4.4 Safe Environment

You are responsible for ensuring that the property provides a safe working environment for our cleaning staff. This includes addressing any hazardous conditions before the scheduled service.

  1. Payment Terms and Cancellation Policy

5.1 Fees and Payment

Fees for our Services are as quoted on our website, mobile application, or as communicated during the booking process. All fees are in USD and inclusive of applicable taxes. Payment is required at the time of booking unless otherwise specified. We accept major credit cards, debit cards, and other payment methods as indicated on our website.

5.2 Cancellation and Rescheduling

You may cancel or reschedule a booking subject to the following conditions:

  • Cancellations made more than 24 hours before the scheduled service will receive a full refund.
  • Cancellations made less than 24 hours before the scheduled service may be subject to a cancellation fee of 50% of the service cost.
  • No-shows or cancellations after our cleaning staff has arrived at the property will be

charged the full service cost.

We reserve the right to cancel or reschedule a service due to unforeseen circumstances, such as weather conditions, staff illness, or other emergencies. In such cases, we will notify you as soon as possible and offer rescheduling or a full refund.

  1. Service Limitations and Exclusions

6.1 Standard Exclusions

Our cleaning services do not include:

  • Moving heavy furniture or appliances
  • Cleaning areas that are inaccessible or pose safety risks
  • Handling hazardous materials or substances
  • Cleaning excessive mold, pest infestations, or biohazards
  • Outdoor cleaning unless specifically included in the service package

6.2 Additional Services

Additional services beyond our standard cleaning packages may be available for an extra fee.

These must be requested and confirmed at the time of booking or agreed upon before the service begins.

  1. Quality Guarantee and Satisfaction Policy

7.1 Quality Guarantee

We strive to provide high-quality cleaning services. If you are not satisfied with the quality of our Services, please notify us within 24 hours of service completion. We will address your concerns and, if necessary, perform a re-clean at no additional cost.

7.2 Damage Claims

In the unlikely event that our cleaning staff damages an item in your property, you must report it to us within 24 hours of service completion. We will investigate the claim and, if we determine that our staff caused the damage, we will arrange for repair or replacement at our discretion.

We are not responsible for:

  • Pre-existing damage or conditions
  • Normal wear and tear
  • Damage resulting from improper installation of items
  • Damage to items that were not properly secured or were in an unstable condition
  1. Liability Limitations and Indemnification

8.1 Limitation of Liability

To the maximum extent permitted by applicable law, iCLEAN and its directors, employees, partners, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use our Services
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from our Services
  • Any bugs, viruses, or other harmful code that may be transmitted through our Services

8.2 Indemnification

You agree to indemnify, defend, and hold harmless iCLEAN and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of our Services.

  1. Intellectual Property Rights

9.1 Our Content

The content on our website and mobile application, including text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of iCLEAN or its content suppliers and is protected by Turks and Caicos Islands and international copyright, trademark, and other intellectual property laws.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes. This license does not include:

  • Modifying or copying our materials
  • Using any material for any commercial purpose
  • Attempting to decompile or reverse engineer any software contained on our website or mobile application
  • Removing any copyright or other proprietary notations from the materials
  1. Privacy and Data Protection

We collect and process personal information as described in our Privacy Policy. By using our Services, you consent to such processing and you warrant that all data provided by you is accurate and complete.

  1. 5 Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Turks and Caicos Islands, without regard to its conflict of law provisions.

11.2 Dispute Resolution Process

If a dispute arises between you and iCLEAN, we encourage you to first contact us directly to seek resolution. If we cannot resolve the dispute informally, any legal action must be brought exclusively in the courts located in the Turks and Caicos Islands, and you consent to the jurisdiction of such courts.

11.3 Limitation on Time to File Claims

Any cause of action or claim you may have arising out of or relating to these Terms or our Services must be commenced within one (1) year after the cause of action accrues, otherwise, such cause of action or claim is permanently barred.

  1. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or using the account termination feature in our Services.

12.2 Termination by Us

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use our Services will immediately cease. If you wish to terminate your account, you may simply discontinue using our Services or contact us to request account deletion.

  1. 6 General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and iCLEAN regarding your use of our Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.

13.2 Waiver and Severability

No waiver by iCLEAN of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of iCLEAN to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

13.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without iCLEAN’s prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. iCLEAN may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted

assigns.

13.4 Force Majeure

iCLEAN shall not be liable for any failure to perform its obligations under these Terms where such failure results from any cause beyond our reasonable control, including, but not limited to, mechanical, electronic, or communications failure or degradation, natural disasters, epidemics, pandemics, or governmental actions.
